These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and XF Agencija US Inc. D/B/A Axiom Labz, having its principal place of business at 300 Delaware Avenue, Suite 210, Wilmington, DE 19801, United States (“Company,” “Axiom Labz,” “we,” “us,” or “our”), governing your access to and use of the Axiom Labz website and any related informational pages, product listings, and account management interfaces (collectively, the “Service”). 

By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Service.
1. Definitions
  • “Service” means the Axiom Labz website and associated informational content.
  • “Account” means a user account created to manage subscriptions or access account-related features.
  • “Content” means all text, graphics, images, software, and materials made available through the Service.
  • “Products” means digital applications developed, operated, or distributed by Axiom Labz, including but not limited to Sleepmaxx AI and UNROT AI.
2. Acceptance of Terms
Your use of the Service constitutes acceptance of these Terms and all applicable policies incorporated by reference. These Terms apply to all visitors, users, and account holders.
3. Eligibility and User Representations
You must be at least eighteen (18) years old to use the Service. By using the Service, you represent and warrant that: 

  • You have the legal capacity to enter into a binding agreement
  • Any information you provide is accurate and complete
  • Your use of the Service complies with applicable laws and regulations
4. Description of Service
Axiom Labz operates as a digital product studio and parent company. The Service provides general information about Axiom Labz, its philosophy, and the Products it develops and distributes. 

Axiom Labz does not itself provide medical, psychological, financial, or professional services through the Service.
5. No Professional Advice
Content provided through the Service is for informational purposes only and does not constitute professional advice of any kind. You should consult a qualified professional before making decisions based on information obtained through the Service.
6. Account Access and Security
Certain features of the Service may require account access. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account.
7. Products and Subscriptions
7.1 Product-Specific Subscriptions
Axiom Labz offers digital products, including but not limited to Sleepmaxx AI and UNROT AI (each a “Product”). Subscriptions, pricing, billing cycles, free or introductory offers, renewals, cancellations, and refunds are governed by the individual Terms of Service applicable to each Product, which you agree to at the time of purchase or registration for that Product.
7.2 Subscription Enrollment & Automatic Billing
When you purchase or enroll in a subscription for a Product: 

  • You may be offered the option to purchase access on a recurring subscription basis, where available. 
  • By enrolling, you authorize recurring billing to your selected payment method at the interval disclosed at checkout. 
  • Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.
Billing intervals (e.g., weekly, monthly, quarterly) and pricing are clearly disclosed prior to payment and vary by Product and plan.
7.3 Trials, Introductory Offers, and Ongoing Subscriptions
Certain Products may offer trial or introductory pricing periods. If you enroll in such an offer: 

  • Your subscription will automatically convert to a paid recurring subscription at the disclosed standard rate unless canceled before the end of the trial or introductory period. 
  • You are responsible for canceling prior to renewal to avoid charges for the next billing period.
Trial availability, duration, pricing, and conversion terms are Product-specific and disclosed at checkout and in the applicable Product Terms of Service.
7.4 Payment Authorization & Account Updates
By subscribing to a Product, you authorize Axiom Labz and its payment processors to: 

  • Charge your selected payment method for all applicable subscription fees, taxes, and related charges. 
  • Update your payment information automatically using account updater services provided by payment networks if your payment details change (e.g., card expiration or replacement), where supported. 
If a payment cannot be successfully processed, access to the applicable Product may be suspended until payment is resolved.
7.5 Cancellation of Subscriptions
You may cancel your Product subscription at any time through the applicable Product’s account management interface or support channels, as described in that Product’s Terms of Service. 

  • Cancellation prevents future charges. 
  • Cancellation does not retroactively refund amounts already paid, except where expressly stated in the Product’s refund policy. 
  • Access to the Product generally remains available until the end of the current billing period.
7.6 Charges, Billing Dates, and Taxes
Subscription charges are billed in advance according to the selected billing cycle. 

Billing dates may vary based on: 

  • The date of initial purchase 
  • The selected subscription plan 
  • Calendar variations (e.g., month length)

Applicable taxes may be added based on your location and local regulations.
7.7 Changes to Pricing and Subscription Plans
Axiom Labz and its Products reserve the right to modify subscription plans, pricing, or billing structures at any time. 

  • Any material changes will take effect only after reasonable notice, where required by law. 
  • Price changes do not apply retroactively and take effect at the next renewal period unless otherwise stated.
Continued use of a Product after a pricing or plan change constitutes acceptance of the updated terms.
7.8 Governing Product Terms
In the event of any inconsistency between this Section and the Terms of Service of a specific Product, the Product-specific Terms of Service control with respect to subscriptions, billing, refunds, and cancellations.
8. Third-Party Services
The Service may reference or link to third-party platforms, app stores, or services. Axiom Labz is not responsible for third-party content, availability, or practices.
9. Intellectual Property
All Content and intellectual property rights associated with the Service are owned by or licensed to Axiom Labz and are protected by applicable intellectual property laws. 

You may not copy, reproduce, distribute, or create derivative works without prior written consent.
10. Acceptable Use
You agree not to: 

  • Use the Service for unlawful purposes 
  • Attempt to gain unauthorized access to systems or data 
  • Interfere with or disrupt the Service 
  • Misrepresent your identity or affiliation
11. Disclaimers
The Service is provided “as is” and “as available.” Axiom Labz disclaims all warranties, express or implied, including warranties of accuracy, reliability, and fitness for a particular purpose.
12. Limitation of Liability
To the fullest extent permitted by law, Axiom Labz shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service.
13. Indemnification
You agree to indemnify and hold harmless Axiom Labz from any claims, damages, or liabilities arising out of your use of the Service or violation of these Terms.
14. Termination
Axiom Labz may suspend or terminate access to the Service at any time for violations of these Terms, legal requirements, or operational reasons.
15. Arbitration and Class Action Waiver
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except where small claims court is applicable. 

You waive any right to participate in a class action or representative proceeding.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
17. Severability and Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and Axiom Labz regarding use of the Service.
18. Changes to These Terms
Axiom Labz reserves the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
